Pizza Luce is committed to providing safe, high-quality food products in compliance with applicable United States food safety regulations, including guidelines issued by the United States Food and Drug Administration (FDA) and applicable state and local health codes. Our food preparation facilities are subject to regular health inspections.
Despite our best efforts, we cannot guarantee that our food products are free from all allergens or that cross-contamination will not occur. We accept no liability for allergic reactions or adverse health events resulting from consumption of our food products where allergen information has been disclosed or was reasonably available upon inquiry.
12. Third-Party Links and Services
Our website may contain links to third-party websites, services, or resources that are not owned or controlled by Pizza Luce. We have no control over and assume no responsibility for the content, privacy policies, terms of service, or practices of any third-party websites or services. We do not endorse or make any representations about third-party websites.
We encourage you to review the privacy policies and terms of service of any third-party websites or services that you visit. Your interactions with third-party websites and services are governed solely by those third parties' terms and policies, and we shall not be liable for any damages or losses caused by your reliance on or use of such third-party websites or services.
13. Governing Law and Jurisdiction
These Terms of Service and any disputes arising out of or related to these Terms, your use of our website, or our services shall be governed by and construed in accordance with the laws of the United States of America and applicable state law, without regard to conflict of law principles that would require application of the laws of a different jurisdiction.
Any legal action or proceeding arising out of or relating to these Terms that is not subject to mandatory arbitration under Section 14 shall be brought exclusively in the federal or state courts of competent jurisdiction in the United States. You hereby consent to personal jurisdiction in such courts and waive any objections to the exercise of jurisdiction over you by such courts.
These Terms are also subject to applicable federal consumer protection laws, including the Federal Trade Commission Act (15 U.S.C. § 41 et seq.) and applicable regulations promulgated thereunder. To the extent applicable, California residents may have additional rights under the California Consumer Privacy Act (CCPA) and the California Privacy Rights Act (CPRA), as amended.
14. Dispute Resolution and Arbitration
14.1 Informal Resolution
Before initiating any formal legal proceeding, you agree to attempt to resolve any dispute, claim, or controversy arising out of or relating to these Terms or our services informally by contacting us at [email protected]. We will attempt to resolve the dispute informally within thirty (30) days of receipt of your complaint. If the dispute is not resolved within that period, either party may proceed with formal dispute resolution as provided herein.
14.2 Binding Arbitration
EXCEPT FOR DISPUTES THAT QUALIFY FOR SMALL CLAIMS COURT, YOU AND PIZZA LUCE AGREE THAT ANY DISPUTE, CLAIM, OR CONTROVERSY ARISING OUT OF OR RELATING TO THESE TERMS OR THE BREACH, TERMINATION, ENFORCEMENT, INTERPRETATION, OR VALIDITY THEREOF, OR YOUR USE OF OUR SERVICES, SHALL BE RESOLVED BY BINDING ARBITRATION. The arbitration shall be conducted in accordance with the rules of the American Arbitration Association (AAA) Commercial Arbitration Rules, as applicable and as modified by these Terms. The arbitrator's decision shall be final and binding and may be entered as a judgment in any court of competent jurisdiction.
14.3 Class Action Waiver
YOU AND PIZZA LUCE AGREE THAT EACH PARTY MAY BRING CLAIMS AGAINST THE OTHER ONLY IN AN INDIVIDUAL CAPACITY AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS, CONSOLIDATED, OR REPRESENTATIVE ACTION OR PROCEEDING. This class action waiver applies to both arbitration and court proceedings. If this waiver is found to be unenforceable, the parties agree that the entirety of the arbitration agreement contained in this section shall be null and void.
14.4 Exceptions
Notwithstanding the above, either party may seek injunctive or other equitable relief in any court of competent jurisdiction to prevent the actual or threatened infringement, misappropriation, or violation of intellectual property rights, confidential information, or other proprietary rights.
15. Term and Termination
These Terms shall remain in full force and effect while you use our website or services. We reserve the right, at our sole discretion, to suspend or terminate your access to our website and services, in whole or in part, at any time and for any reason, including but not limited to:
- Your breach or violation of any provision of these Terms.
- Suspected fraudulent, abusive, or illegal activity.
- Requests by law enforcement or other government agencies.
- Our decision to discontinue or materially modify our website or services.
- Technical or security issues or problems.
Upon termination of your account or access to our services, the following provisions of these Terms shall survive: Intellectual Property Rights, Disclaimer of Warranties, Limitation of Liability, Indemnification, Governing Law and Jurisdiction, Dispute Resolution, and any other provisions that by their nature should survive termination.
You may terminate your account at any time by contacting us at [email protected]. Termination of your account does not relieve you of any obligations incurred prior to termination, including payment obligations.
16. Changes to These Terms
We reserve the right to modify, update, or replace these Terms of Service at any time and at our sole discretion. When we make material changes to these Terms, we will update the "Last Updated" date at the top of this page and, where reasonably practicable, provide additional notice such as posting a notification on our website or sending an email to registered users.
Your continued use of our website or services after the effective date of any modifications constitutes your acceptance of the updated Terms. If you do not agree to the updated Terms, you must immediately cease using our website and services. It is your responsibility to review these Terms periodically to stay informed of any changes.
We may also, in the future, offer new services, features, or tools on our website. Such new features and services shall be subject to these Terms as may be amended from time to time.
17. Severability
If any provision or portion of these Terms of Service is found by a court or arbitrator of competent jurisdiction to be invalid, unlawful, void, or unenforceable for any reason, that provision or portion shall be deemed severed from these Terms, and such invalidity, illegality, or unenforceability shall not affect the validity, legality, or enforceability of any other provision of these Terms. The remaining provisions shall continue in full force and effect. To the extent permitted by applicable law, the parties authorize the court or arbitrator to modify such invalid or unenforceable provision to the minimum extent necessary to make it valid and enforceable.
18. Entire Agreement
These Terms of Service, together with our Privacy Policy and any other legal notices or policies published by us on our website, constitute the entire agreement between you and Pizza Luce with respect to your use of our website and services, and supersede all prior and contemporaneous understandings, agreements, representations, warranties, and negotiations, whether written or oral, regarding the subject matter hereof.
No waiver by Pizza Luce of any term or condition set forth in these Terms shall be deemed a further or continuing waiver of such term or condition or a waiver of any other term or condition. The failure of Pizza Luce to assert any right or provision under these Terms shall not constitute a waiver of such right or provision.
19. Force Majeure
Pizza Luce shall not be liable for any failure or delay in performance of its obligations under these Terms where such failure or delay results from causes beyond our reasonable control, including but not limited to: acts of God, natural disasters, floods, fires, earthquakes, epidemics, pandemics, civil disturbances, acts of terrorism, war, governmental actions, supply chain disruptions, labor disputes, or failures of third-party service providers or utilities. In such events, our obligations shall be suspended for the duration of the force majeure event, and we will use commercially reasonable efforts to resume normal operations as soon as practicable.
20. Electronic Communications
By using our website or services, you consent to receiving electronic communications from us, including but not limited to order confirmations, receipts, promotional materials (where you have opted in), and notices regarding changes to these Terms or our policies. You agree that any notices, disclosures, agreements, or other communications that we provide to you electronically satisfy any legal requirement that such communications be in writing.
